Нормативную базу образуют специальные законы о ГЧП ОАЭ (Federal Decree-Law No. 12 of 2023), Катара (Law No. 12 of 2020), Саудовской Аравии (PSP Law 2021), Японии (PFI Act 1999), Южной Кореи (APPI), КНР (концессионные правила 2024 г.), а также Законы № 115-ФЗ и № 224-ФЗ, судебная практика российских арбитражных судов и документы ЮНСИТРАЛ, ЕЭК ООН, ОЭСР, Всемирного банка.
<p>Purpose: This study is a comparative legal analysis of public-private partnership (PPP) models in Russia, the Persian Gulf countries (UAE, Qatar, Saudi Arabia) and East Asia (Japan, South Korea, China) in relation to international UNCITRAL, UNECE and OECD standards. The author sets the task to identify systemic legal defects in the Russian PPP model and propose specific legislative mechanisms for their elimination based on verified foreign experience. The article presents the results in the form of a systematic analysis of seven national PPP legal systems based on regulations, judicial practice and international methodological documents. The key conclusion is the establishment of two structural defects of Russian legislation: (1) the absence of a legislative criterion for distinguishing the scope of application of Laws No. 115-FZ and No. 224-FZ, which creates conditions for the use of concessions in order to circumvent competitive procedures under Law No. 44-FZ; (2) the declarative nature of the principle of equitable distribution of risks in the absence of a mechanism for its implementation. It was also found that none of the legal systems considered integrated the socio-environmental requirements of the UNECE People-first PPPs concept into the project selection procedures, which indicates a systemic gap with current international standards. Materials and methods: The methodological basis of the study is the comparative legal method as the main one, which provides a comparison of the legal models of seven jurisdictions. Additionally, a formal legal method was used to analyze regulations and contractual structures, a historical legal method was used to analyze the genesis and evolution of PPP legislation in the countries under consideration, and a legal modeling method was used to develop proposals for improving legislation. The regulatory framework is formed by special laws on PPP UAE (Federal Decree-Law No. 12 of 2023), Qatar (Law No. 12 of 2020), Saudi Arabia (PSP Law 2021), Japan (PFI Act 1999), South Korea (APPI), China (concession rules 2024), as well as Laws No. 115-FZ and No. 224-FZ, jurisprudence of Russian arbitration courts and UNCITRAL documents, UNECE, OECD, World Bank. Results: As a result of the analysis, the following key results were obtained: A structural defect of the Russian PPP model was identified - dualism of two parallel legislative regimes (115-FZ and 224-FZ) in the absence of a legislatively fixed criterion for their distinction, creating legal uncertainty and risks of restricting competition. It was established that all considered foreign jurisdictions have chosen the model of a single special law on PPP, which provides much greater legal certainty for partnership participants. Systematization of foreign experience of institutional independence of PPP project assessment was carried out: the South Korean PIMAC model at KDI is presented as the most relevant model for Russian legislative reform. None of the legal systems reviewed were found to have implemented the UNECE People-first PPPs socio-environmental standards in the project selection and implementation procedures, demonstrating the systemic nature of this gap with international standards. Three specific legislative proposals were formulated to improve the Russian PPP legislation: the creation of an independent project assessment body, the expansion of the list of mandatory disclosures, the integration of socio-environmental assessment into project preparation procedures. Conclusions: the studies are that the most consistent solution to the identified legal problems is the adoption of a single codified law on PPP, combining concession and non-concession regimes within a common legal framework with a legislatively fixed criterion for distinguishing between contractual forms, mandatory independent examination of projects and integrated socio-environmental assessment.</p>
<kwd-group xml:lang="ru"><kwd>государственно-частное партнёрство</kwd><kwd>ГЧП</kwd><kwd>концессионное соглашение</kwd><kwd>сравнительное правоведение</kwd><kwd>распределение рисков</kwd><kwd>People-first PPPs</kwd><kwd>правовое регулирование инфраструктуры</kwd></kwd-group><kwd-group xml:lang="en"><kwd>public-private partnership</kwd><kwd>PPP</kwd><kwd>concession agreement</kwd><kwd>comparative jurisprudence</kwd><kwd>risk distribution</kwd><kwd>People-first PPPs</kwd><kwd>legal regulation of infrastructure</kwd></kwd-group></article-meta></front><back><ref-list><ref id="ref1"><mixed-citation publication-type="other" xml:lang="ru">Маслова С.В.
